1. Agreement and eligibility

Herbal Ledger LLC is a privately owned and operated pre-launch service based in Florida, United States (called “Herbal Ledger LLC,” “we,” “us,” or “our” below). Herbal Ledger LLC is a Florida limited liability company, filed and effective September 14, 2026. Until a change of operator is identified in revised Terms, the current operators offer the service under the Herbal Ledger LLC name. Creating a secure login does not by itself record acceptance of these policies or permit access to Herbal Ledger LLC records or tools. By electronically signing the current agreement, the user confirms that they are at least 18 years old, can enter a binding agreement, have read these Terms, the Privacy Policy, the Legal & Safety Disclaimer, and the Cancellation & Refund Policy, and agree to the current policy version.

Anyone who does not accept the current agreement may stop using the service. After a material revision is presented, protected account access cannot continue under an earlier version. The revised policies remain available to review before the user decides whether to accept them.

2. Account access and responsibility

Each Home account is for one authorized user. The user must provide accurate account information, protect sign-in access, and promptly report suspected unauthorized use. The user is responsible for activity performed through the account unless prohibited by law. Additional authorized users require a plan that expressly permits them.

A Beta Tester is also governed by the Beta Tester Agreement, which is incorporated into these Terms. If the Beta Tester Agreement sets a stricter rule for beta participation, promotion, community conduct, referral activity, rewards, or removal, that beta-specific rule controls for the Beta Testing Program.

3. What the service provides

Herbal Ledger LLC provides tools for organizing herb research, inventory, core formulas, batch records, production tasks, backups, forms, and related notes. Features may be added, revised, suspended, or removed as the service develops. Beta features may contain errors or omissions and may change without preserving an identical workflow.

Home-herbalist recordkeeping. Herbal Ledger LLC is designed for home herbalists and personal apothecary recordkeeping. Its basic inventory, recipe-cost and sales-receipt features are recordkeeping aids. It is not designed or validated as a professional sales, accounting, tax, business-management or regulated-manufacturing system.

A member who chooses to use these tools in connection with a business does so at their own risk, subject to applicable law and the Terms of Use. Software errors, incomplete information and entry mistakes can produce incorrect quantities, costs, receipts or other records and cause financial loss. Independently verify entries and calculations, maintain separate business records, and handle business accounting and tax reporting outside Herbal Ledger LLC. Financial summaries contain recorded activity and estimates. They are incomplete and must not be used as profit-and-loss or tax reports. A future business edition is not promised.

Herbal Ledger LLC is not a clinical system, electronic health record, patient or client-management system, pharmacy system, tax-filing service, or complete business-compliance system. It is not offered as the sole required record system for a health care office, herbal service, licensed facility, commercial manufacturer, or other regulated business. A member must independently maintain every record, permission, safeguard, filing and system required for any business activity.

Sales and tax responsibility. Members who make sales are responsible for determining whether their transactions are taxable, obtaining required registrations, verifying the full applicable tax rates and taxable amounts, and collecting, reporting and remitting taxes when required by law. Applicable rules may include state and local taxes, delivery-location rules, exemptions and shipping charges. Herbal Ledger LLC does not determine these obligations or automatically establish the correct tax treatment. Independently verify all tax entries, calculations and receipt totals, including rate precision and rounding, and maintain tax records outside the service.

4. User records and ownership

The user keeps ownership of original formulas, recipes, notes, documents, and other content entered into the account. The user grants Herbal Ledger LLC only the limited permission necessary to host, process, back up, display, and transmit that content to operate the service and fulfill the user’s requests. Herbal Ledger LLC does not acquire ownership of a user’s recipe merely because it is stored in the service.

The user must have the right to upload or store the content they enter. Users must not enter trade secrets, copyrighted material, personal information, or confidential records belonging to someone else without authorization.

Customer contact fields are provided only for a maker's private sale record. A user who enters another person's name, address, telephone number, email address, order details, or other information is responsible for having a lawful reason to collect it, limiting it to what is necessary, protecting it from unauthorized access, honoring applicable privacy rights, and deleting it when it is no longer lawfully needed. Herbal Ledger LLC does not authorize users to build patient charts, clinical files, or medical client records.

5. Acceptable use

Herbal Ledger LLC respects herbalists, their experience, and the many lawful ways they practice. It is not a regulator and does not routinely inspect private User Content to judge a person's ingredients, methods, products, business, or legal compliance. A membership, Beta invitation, business relationship, or ingredient name is not proof of approval or wrongdoing.

Respect for users does not excuse Herbal Ledger LLC or a user from applicable law. Each user is responsible for the laws that apply to the user's own work. Because Herbal Ledger LLC operates from Florida, it must follow applicable United States federal law, Florida law, and local law, together with any other law that must apply and valid legal process.

The service may not be used to break the law; plan, produce, distribute, sell, or conceal illegal drugs or other unlawful activity; facilitate fraud; invade privacy; distribute malware; interfere with the service; gain unauthorized access; scrape or resell the service; impersonate another person; reverse engineer or decompile protected software; bypass access or security controls; conduct security testing without written permission; perform competitive research to build a competing copy; or create or distribute a product that the user knows is unlawfully marketed or dangerously misrepresented. Herbal Ledger LLC may restrict or end access when reasonably necessary to protect users, the service, or others.

6. Health, product, and regulatory limits

The Legal & Safety Disclaimer is part of these Terms. Herbal Ledger LLC is not a medical provider, lawyer, regulator, testing laboratory, insurer, contract manufacturer, or compliance consultant. An alert, template, saved record, calculation, or help page does not establish safety, effectiveness, stability, legality, or regulatory compliance.

Herbal Ledger LLC content is not independent product or health-claim evidence. A Botanical Plus Library entry, Herbal Ledger LLC summary, warning, template, calculation, help page, or other material created by the service does not by itself constitute competent and reliable scientific evidence, clinical evidence, laboratory verification, regulatory substantiation, certification, or professional documentation of an herb's, ingredient's, preparation's, product's, or dietary supplement's identity, composition, quality, safety, effectiveness, dosage, traditional use, claimed herbal action, health benefit, or regulatory status.

A user's own records and independently obtained source documents do not lose their ownership or whatever independent relevance they may have merely because the user stores, links, or prints them through Herbal Ledger LLC. Herbal Ledger LLC does not authenticate those materials, verify the facts recorded in them, certify their legal sufficiency, or turn them into substantiation merely by storing or formatting them. A user must not characterize the service's Library entries, summaries, warnings, templates, calculations, links, screenshots, or printouts as Herbal Ledger LLC proof, certification, or professional documentation. A user who relies on an original source, laboratory report, certificate, or other outside material must independently review it and remains responsible for determining whether it is genuine, current, applicable, and adequate for the user's purpose.

7. Subscriptions and recurring billing

Paid subscriptions are billed in advance at the price and interval shown before purchase. A monthly subscription renews automatically each month until canceled. Before payment, the checkout must clearly show the amount, billing frequency, renewal terms, and how to cancel. Taxes may be added when legally required. Payments will be handled by a payment processor, and Herbal Ledger LLC should not receive or store the complete payment-card number.

8. Cancellation and refunds

The separate Cancellation & Refund Policy is part of these Terms. It controls if a shorter promotional statement conflicts with it, unless applicable law gives the customer greater rights.

9. Backups and exports

Herbal Ledger LLC may provide automatic restore points and downloadable account copies, but no storage system is guaranteed against every interruption, corruption, deletion, security event, or loss. Users should regularly download and securely store their own copies of important recipes and records. Herbal Ledger LLC is a supplemental organizational and recordkeeping aid and is not offered as the sole legally required recordkeeping system for a regulated business, as described in Clause 3.

10. Service availability and third parties

The service depends on hosting, authentication, payment, network, and other providers that Herbal Ledger LLC does not fully control. Maintenance, outages, provider changes, emergencies, security work, or events beyond reasonable control may interrupt access. Third-party services are also governed by their own terms and privacy policies.

10A. Accessibility and reasonable assistance

Herbal Ledger LLC aims to make its website usable with keyboard navigation, screen readers, text enlargement, readable contrast, labeled controls, and information that does not depend only on color. Accessibility does not require a separate Braille website or translation into every language. Users may report an accessibility barrier using the public support email address, or through the Contact form after signing in with an active account that has accepted the current agreement, so a reasonable correction or alternative method of assistance can be considered.

10B. Copyright complaints and user uploads

Users may upload only material they own or are authorized to store. Herbal Ledger LLC may remove or restrict access to material reasonably believed to infringe copyright or other rights and may suspend repeat infringers. A public copyright-notice procedure and, when appropriate for user-hosted content, a registered Digital Millennium Copyright Act agent will be established before public community uploads or public sharing features are launched.

10C. Service and marketing communications

Herbal Ledger LLC may send messages necessary to operate an account, including sign-in codes, security notices, receipts, policy notices, cancellation confirmations, and material service updates. Promotional email must identify the sender accurately, avoid deceptive subject lines, include the legally required business contact information, and provide a working method to stop future promotional messages. Unsubscribing from marketing does not stop essential account or security messages.

11. Disclaimer of warranties

To the fullest extent permitted by law, the service and its content are provided “as is,” “as available,” and with all faults. Beta and pre-release features may contain bugs, errors, interruptions, crashes, or flaws that affect saved information or a user's device. Herbal Ledger LLC disclaims express and implied warranties, including merchantability, fitness for a particular purpose, noninfringement, accuracy, availability, and results, and does not promise that the service will be uninterrupted, error-free, complete, secure against every threat, suitable for a particular business, or accepted by any regulator, insurer, court, customer, marketplace, or professional.

12. Limitation of liability

To the fullest extent permitted by law, Herbal Ledger LLC and its operator will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost business, lost data, product loss, device, hardware, or system damage, recall expense, regulatory penalties, personal injury, illness, allergic reaction, poisoning, or death arising from a user’s ingredients, formulas, manufacturing, labeling, claims, distribution, or reliance on the service.

For claims that cannot lawfully be excluded, total liability will not exceed the amount the claimant paid Herbal Ledger LLC during the 12 months before the event giving rise to the claim, or $100 if the claimant used only a free account. This limit does not exclude liability that applicable law does not permit a party to waive.

13. Indemnity

To the extent permitted by law, the user agrees to defend and reimburse Herbal Ledger LLC and its operator for third-party claims, losses, and reasonable costs caused by the user’s content, product, label, claim, unlawful conduct, violation of these Terms, or infringement of another person’s rights. This clause does not apply to the extent a claim was caused by conduct for which indemnity cannot lawfully be required.

14. Suspension and termination

A user may cancel as described in the Cancellation & Refund Policy. Herbal Ledger LLC may suspend or terminate an account for nonpayment, unlawful or dangerous misuse, attempted unauthorized access, material breach of these Terms, or a genuine threat to the service or others. When practical, notice and a reasonable opportunity to cure will be provided. Terms that logically must continue after termination, including ownership, disclaimers, liability limits, and dispute provisions, will survive.

15. Governing law and disputes

These Terms are governed by Florida law, without regard to conflict-of-law rules, except where another law must apply. Any court proceeding must be brought in a court of competent jurisdiction in Florida, unless consumer law requires another location. Before filing a claim, both sides agree to make a good-faith attempt to resolve it through written notice and 30 days of direct discussion.

16. Changes, severability, and entire agreement

Herbal Ledger LLC may revise these Terms and the policies incorporated into them prospectively as the service, law, security needs, or business practices change. Herbal Ledger LLC does not need each user's approval before preparing or publishing a revision. Every material revision will be identified with a new version, clearly presented, and must be read and accepted before the user can re-enter or continue using the protected service. The revision applies to that user only after acceptance, and access cannot continue under an earlier version.

A correction limited to spelling, punctuation, grammar, formatting, numbering, cross-references, broken links, or another obvious non-substantive error does not amend this Agreement or require renewed acceptance, but only when it does not change meaning, duties, rights, fees, access, privacy practices, or legal effect.

No revision applies retroactively to shorten an access period already purchased, erase a benefit or reward already earned under a binding written promise, expand Herbal Ledger LLC's rights in User Content already provided, withdraw a privacy promise without the notice or consent required by law, or waive a right that applicable law does not allow a person to waive. If one provision is found unenforceable, the remaining provisions continue. These Terms and the policies incorporated into them are the complete agreement about the service unless a separate written agreement signed by both sides says otherwise.

17. Contact

1. Information collected

Account information: sign-in email, display name, account role, plan, status, and acceptance of legal terms.

User content: inventory, formulas, batches, research notes, calendar entries, forms, uploaded documents, backups, and other records the user chooses to save.

Community content: beta suggestions, votes, comments, and the display name shown with a post. Email addresses are not displayed on the suggestion board. Private Beta Problem Reports and their screenshots are separate from community content and are not posted to the shared Beta discussion. The reporting tester and authorized owners may open them for support, subject to the limited operational, safety, security, and legal uses described below.

Payment information: subscription status, transaction identifiers, billing dates, and limited payment details supplied by the payment processor. Complete card numbers should be collected and stored by the payment processor, not Herbal Ledger LLC.

Technical information: security, error, access, device, browser, network, and usage information reasonably needed to authenticate users, prevent abuse, diagnose failures, and operate the service.

Beta Tester and referral information: Beta Code and invitation status, tester eligibility and participation records, assigned referral link or code, attributed signup and qualifying subscription status, limited usage or retention signals, refunds, chargebacks, fraud-review results, bonus eligibility, rewards issued, and related audit records. Referred customers' private formulas, records, and complete payment details are not disclosed to Beta Testers.

2. How information is used

Information is used to create and protect accounts; save, retrieve, back up, export, and connect records; process subscriptions; provide support; communicate service or policy changes; prevent fraud and misuse; diagnose errors; improve features; enforce agreements; and comply with legal obligations. Private User Content is not routinely opened by Herbal Ledger LLC owners and is not used as a formula, example, advertisement, training material, or feature-development material without the user's separate permission. Automated processing needed to save, search, connect, back up, secure, and return the user's own records is part of operating the service.

If a user voluntarily includes User Content in a private support or Problem Report, authorized owners may view and use the submitted material as reasonably necessary to investigate and answer that report, subject to Clause 4 below. The report's description of how Herbal Ledger LLC works is Feedback; an included formula, recipe, record, research note, or image remains the user's private User Content and is not included in the Feedback license.

3. Health and sensitive information

Herbal Ledger LLC is not an electronic medical record, healthcare provider, medical or herbal client-management system, or HIPAA service. It is not designed or authorized for patient charts, clinical records, diagnoses, treatment plans, protected health information handled by a health care office, Social Security numbers, full payment-card numbers, government identification numbers, or another person’s sensitive medical information. A user who chooses to record their own personal health-related notes should include only what is genuinely necessary and understands that such information may receive special protection under some laws.

Herbal Ledger LLC does not sell consumer health information or use it for targeted advertising. If the service later begins collecting or using consumer health information in a materially different way, this policy and the consent process must be updated before that change.

4. When information may be disclosed

Information may be provided to service providers that perform hosting, authentication, storage, security, communications, support, analytics limited to service operations, or payment processing. They should receive only the information reasonably needed for their work and be bound by appropriate contractual or legal duties.

Herbal Ledger LLC respects herbalists and does not voluntarily disclose private User Content merely because a person, business, agency, or government representative asks for it. A request alone does not give the requester unrestricted live access to an account. Herbal Ledger LLC may internally review limited information when reasonably necessary to investigate fraud, a security incident, abuse of the service, or a material violation of these agreements. Information may be preserved or disclosed to another party when Herbal Ledger LLC reasonably and in good faith believes disclosure is permitted or required by applicable law, including in response to valid legal process or a qualifying emergency involving danger of death or serious physical injury.

When responding to legal process, authorized owners will use a restricted, logged process and reasonable efforts to limit access and disclosure to the accounts, records, and dates reasonably understood to fall within the lawful request. Because some records, uploads, and backups may contain linked information, perfect technical separation may not always be possible. Herbal Ledger LLC will not intentionally provide unrelated User Content and will review material before disclosure when circumstances reasonably allow. Every owner view, file download, and export made through the restricted process is logged. The affected user will be notified when notice is legally permitted and reasonably practical, but notice may be delayed or prohibited by law.

Information may also be disclosed as reasonably necessary to complete a lawful business transfer. If ownership changes, users will receive notice when required, and this policy will continue to govern previously collected information unless lawfully changed.

5. No sale and no targeted advertising

Herbal Ledger LLC does not sell or rent personal information and does not share personal information for cross-context behavioral or targeted advertising. If that approach ever changes, advance notice and any legally required consent or opt-out choice must be provided before the change.

6. Cookies and similar technology

The service may use cookies or similar technology necessary for sign-in, security, account continuity, preferences, and core operation. Advertising cookies are not part of the planned service. Any future nonessential analytics or advertising technology must be disclosed and handled with any consent required by law.

7. Retention, cancellation, and deletion

Account information and User Content are retained while a subscription is active and through the end of an already-paid billing period after cancellation. When that paid period ends, account access stops and the active account and customer-created content enter the deletion process. Deletion is not represented as instantaneous. It may require a reasonable administrative period, and limited copies may remain temporarily in backups or legal holds as described below.

Limited billing, legal-acceptance, security, transaction, dispute, or backup records may remain for as long as reasonably necessary or legally required. If Herbal Ledger LLC receives a valid preservation duty or legal requirement before ordinary deletion, a protected read-only copy of information reasonably related to that matter may be retained for as long as reasonably necessary or legally required. A preserved copy is not available as a usable customer account and is accessible only through the restricted, logged legal-response process. Users must download or print every record they want to keep before the paid period ends. A later subscription begins with a new, empty account after deletion is completed.

If a Beta Tester resigns or is removed, access may end immediately and tester-created account records may remain protected for a stated recovery period, currently 90 days, before entering the deletion process. During the current Beta period, deletion and release of a legal hold may require manual owner processing. Referral, reward, legal-acceptance, security, fraud-prevention, and audit records may be retained longer when reasonably necessary to administer the program, resolve disputes, comply with law, or prevent repeated abuse.

8. Security and breach response

Herbal Ledger LLC uses reasonable administrative, technical, and organizational safeguards appropriate to the service, including account separation and access controls, but no online system can promise that a breach will never occur. Users must protect their sign-in account, devices, printed records, and exported files. Suspected unauthorized access should be reported promptly.

If Herbal Ledger LLC discovers unauthorized access to covered personal or health-related information, it will investigate, contain the incident when reasonably possible, preserve necessary records, and notify affected people, government agencies, service providers, or others when and within the time required by applicable law. This commitment does not convert Herbal Ledger LLC into a HIPAA service or authorize storage of patient records.

9. User choices and privacy requests

Subject to applicable law and identity verification, users may request access to, correction of, export of, or deletion of personal information and may appeal a denied privacy request when required. Users may also correct many account records directly in the service. Herbal Ledger LLC will not discriminate against a user for exercising a privacy right.

10. Children

Herbal Ledger LLC is for adults age 18 or older. It is not directed to children and does not knowingly permit anyone under 18 to create an account, accept a Beta Code, purchase a membership, participate in community areas, submit personal information, or use another person's account. Suspected underage accounts may be suspended while age is reviewed, and information will be deleted when required.

11. United States operation and policy changes

The service is operated from the United States. A user accessing it from another location is responsible for determining whether that access is lawful. Every material privacy change will be identified with a new version, clearly presented, and require renewed acceptance before protected account access resumes, together with any additional consent required by law. Non-substantive corrections follow Clause 16 of the Terms of Use.

12. Privacy contact

Cancel anytime

A customer may cancel at any time. Cancellation stops the next automatic renewal and all later subscription charges. It does not close the account immediately or shorten the billing period the customer has already paid for.

No refunds or partial credits

Subscription payments are final and nonrefundable. Herbal Ledger LLC does not provide refunds or credits for a partial billing period, unused account time, an accidental purchase, or a renewal that processed because the customer did not cancel before the renewal date.

This rule does not limit a refund or consumer right that cannot lawfully be waived. Duplicate, unauthorized, or incorrectly processed charges should be reported promptly so they can be investigated and corrected.

Full access through the paid period

After cancellation, the customer may continue to use the site and their account through the final day of the already-paid billing period. During that time, the customer may view, add, edit, print, and export records. If a renewal payment has already processed, cancellation applies to the next renewal and the newly paid period remains available without a refund.

Record deletion when access ends

When the already-paid billing period ends, account access ends and the active account and customer-created content enter the deletion process. This includes saved inventory, formulas, batch records, herb research, planner entries, forms, uploads, and account backups. Herbal Ledger LLC does not represent deletion as instantaneous; during pre-launch operation it may require manual processing, and limited retained copies may remain as described in the Privacy Policy.

An earlier server backup may temporarily contain records during its normal retention window. Restoring such a backup restores the whole account and may reintroduce records that had been removed individually. The customer is responsible for downloading or printing every record they want to keep before the paid period ends. After account deletion is completed, a later subscription begins with a new, empty account.

Limited records that may remain

Herbal Ledger LLC may retain limited billing, transaction, legal-acceptance, security, dispute, or backup records for as long as reasonably necessary or legally required. Those limited records will not remain available to the customer as an active account and will not be restored as customer content.

How to cancel

Account cancellation controls and a public support email must be available before paid enrollment opens. Cancellation is effective when submitted through the account control or received at the published support address. Customers should keep the confirmation. Herbal Ledger LLC will not require a sales call or an unnecessary series of steps to cancel.

To prevent another charge, the cancellation request must be submitted before the next renewal date shown in the customer’s account or checkout records.

No subscription pause

Subscriptions cannot be paused. A customer who does not want the next renewal must cancel. The customer may subscribe again later, but any records deleted after the prior paid period ended cannot be restored.

Changes to this policy

Every material change applies prospectively, will be clearly presented with a new version, and must be read and accepted before protected account access resumes. Non-substantive corrections follow Clause 16 of the Terms of Use. A change will not create an additional charge or shorten an already-paid access period without the customer’s agreement.

The purpose of the Beta Testing Program is to find missing, inaccurate, confusing, or impractical parts before wider release. Honest opinions and real-world testing help Herbal Ledger LLC correct problems before a poor first version discourages the people it is meant to serve. Beta Testers are not expected to agree with the co-owners or with one another. Their value comes from sharing what works for them, what does not, and why.

Herbalists who own or work in a business are welcome to bring that experience. An invitation recognizes the value of the individual tester's perspective; it is not an inspection, approval, certification, or endorsement of the tester's company, products, labels, claims, practices, or legal compliance. Neither Beta acceptance nor a record, report, printout, or other output from Herbal Ledger LLC is regulatory approval or proof of compliance. Each tester and business remains responsible for the laws and requirements that apply to its work.

Respect for a tester's experience does not prevent Herbal Ledger LLC from following the laws that apply to the service. Herbal Ledger LLC does not routinely inspect private account records to judge a tester's ingredients, methods, products, business, or compliance. It may preserve, review, or disclose limited records in the circumstances described in the Privacy Policy, including when valid legal process or applicable law requires it.

2. Personal Beta Tester place and company ownership

Herbal Ledger LLC may approve up to 30 active Beta Testers. Beta Tester describes a testing role only. It does not create company ownership, shares, equity, profit rights, voting or management rights, intellectual-property ownership, employment, agency, a partnership, or authority to make commitments or speak on behalf of Herbal Ledger LLC.

By accepting the role, the Beta Tester acknowledges that no ownership interest has been offered, promised, earned, or issued in exchange for testing, feedback, suggestions, referrals, promotion, participation, or any other beta activity. The tester has no present or future expectation of ownership arising from participation and agrees not to assert a claim to ownership, equity, company membership, shares, profits, governance, or intellectual-property ownership on that basis.

Acceptance, activation, or use of no-cost Beta Tester access is conditioned on this Agreement. In addition to the electronic signature required before entry, accepting or using that access confirms that the tester accepts the ownership and feedback rules in this Agreement. A tester who does not accept those rules must not activate or use Beta Tester access.

Company ownership could arise only through a separate written agreement that specifically identifies and grants an ownership interest and is signed by the tester and a person legally authorized to grant that interest. A message, conversation, role title, compliment, reward announcement, feature suggestion, or course of participation is not such an agreement.

A Beta Code is assigned to one approved person and email address. It is personal, single-use, nontransferable, and may not be sold, shared, published, exchanged, or used to create an account for another person.

The tester must provide accurate invitation, identity, account, and profile information and keep it reasonably current. Impersonation, fabricated profile information, or using another person's identity is not permitted.

3. Beta access, duration, and lifetime access

The tester's Beta period begins when the tester electronically signs the current Agreement and access is enabled. Herbal Ledger LLC has not set a fixed public end date for active beta. Active beta ends on the date Herbal Ledger LLC announces in writing, although an individual tester's participation may end earlier through resignation, removal under this Agreement, or discontinuation of the service.

Subject to this Agreement, Herbal Ledger LLC grants the tester a personal, non-exclusive, nontransferable, limited license to access and use the tester-eligible service for permitted testing and organizational recordkeeping within the home-herbalist service described in Clause 1 and Terms of Use Clause 3, while the tester's access remains active. The license may be suspended or revoked only as described in this Agreement and the incorporated Terms of Use.

A Beta Tester who completes the active beta period in good standing receives access to the tester-eligible Herbal Ledger LLC service without a monthly subscription charge for as long as Herbal Ledger LLC continues operating and offers that service. After the active beta period ends, required testing and check-ins end. Continued comments, error reports, and suggestions are welcome but optional. “Lifetime” does not promise that the business, every feature, or the service will exist forever; does not cover separately priced products, services, storage, professional work, or future premium offerings unless expressly included; and ends if the tester resigns or is removed under this Agreement.

Herbal Ledger LLC is still being tested and may contain bugs, errors, interruptions, crashes, or flaws that affect saved information. Testers should download or print independent copies of important work. The warranty and liability limits in the Terms of Use apply to Beta access.

4. Meaningful participation is required

During the active beta period, continued participation is what keeps a tester eligible for lifetime free access. Helpful participation includes sincerely using relevant parts of the service, answering reasonable check-ins, joining relevant Beta Tester reviews or conversations, identifying missing or incorrect information, reporting malfunctions with useful detail, and explaining what was expected to happen. When possible, reports should name the page and action, describe what occurred, and include a screenshot that contains no private information.

Herbal Ledger LLC does not impose a fixed hourly minimum or an arbitrary number of reports. Testers should use Questions, Concerns & Suggestions for bugs, crashes, feature ideas, and clarification, and Chat for conversations with other testers. Those tools are available inside the Beta Tester menu.

Herbal Ledger LLC welcomes accurate criticism. Testers are encouraged to say plainly when information, calculations, instructions, warnings, workflows, or wording appear incomplete, confusing, or wrong. No one is expected to give positive reviews, praise the service, conceal defects, or soften truthful feedback. Herbal Ledger LLC may decide not to implement a suggestion and does not promise a particular response time or result.

5. Respectful conduct and community safety

Direct disagreement and strong criticism are welcome. Name-calling, personal attacks, repeated insults, bullying, harassment, discriminatory slurs, sexual harassment, stalking, intimidation, retaliation, doxxing, impersonation, deliberate disruption, spam, or encouraging others to target a person are prohibited. Threats of violence, threats against a person, family, property, livelihood, or safety, and credible attempts to frighten or coerce another person may result in immediate suspension and removal and may be reported when appropriate.

Beta Tester conversations should remain focused on ideas, evidence, features, and conduct rather than personal attacks. No one loses Beta Tester access merely for respectful criticism, an unfavorable opinion, or accurately reporting a serious defect. Honest debate may be firm, but vicious condescension, contempt, humiliation, baiting, sneering at another person's knowledge, or using “honesty” as an excuse for cruelty is not constructive participation.

Communication styles differ. If another Beta Tester or an owner explains that certain wording feels unusually harsh, confusing, or personal, participants should make a good-faith effort to clarify their meaning and use kinder, more precise language. This does not require anyone to hide facts, agree with another person, or avoid necessary criticism. It requires criticism to remain directed at the work rather than the worth or intelligence of the person.

Beta Testers must respect clearly stated personal and communication boundaries. Prohibited boundary violations include continuing unwanted personal contact after being asked to stop; pressuring someone to disclose private information; repeatedly moving a disagreement into private messages; contacting someone off-platform without permission; sexual or romantic pressure; and using private information, family circumstances, disability, identity, or vulnerability to embarrass or control someone.

Deliberately starting, provoking, prolonging, or escalating a verbal altercation may lead to moderation or removal. Herbal Ledger LLC will consider context, including who initiated the conduct, whether someone attempted to disengage, patterns of behavior, severity, credible evidence, and whether a response was reasonably defensive. A person who reports abuse or reasonably defends a boundary will not automatically be treated as equally responsible merely because an argument occurred.

6. Beta Testing Community, privacy, and confidentiality

Beta Testers in good standing receive continuing access to the designated Beta Feedback area for group discussion and communication with the co-owners while the service and program continue. The area remains available after formal beta testing ends so testers may submit optional comments and suggestions. It is a moderated shared space, not a confidential consultation, emergency channel, or promise of an immediate private response. Other testers may see group posts. A tester must not post another person’s private records, contact information, medical information, credentials, screenshots, formulas, or business information without permission.

Confidential Beta Information means non-public information that Herbal Ledger LLC identifies as confidential or that a reasonable tester would understand is not ready for public release. It includes unreleased features and feature lists, internal screenshots and recordings, design assets, source code, security information, private owner communications, internal documents, roadmaps, and discussions within private Beta areas. It does not include the tester's own User Content; information that becomes public without a breach of this Agreement; information the tester already lawfully knew without a duty of confidence; information independently developed without use of Confidential Beta Information; or information lawfully received from another person without a confidentiality duty.

Please use Confidential Beta Information only for participating in the program and do not show, send, post, publish, record, or discuss it with friends, family, coworkers, clients, customers, competitors, public forums, or social media unless Herbal Ledger LLC first gives written permission.

The confidentiality rules do not prevent the tester from using or sharing the tester's own User Content outside Herbal Ledger LLC. When sharing that work, the tester must share it separately and must not use screenshots, recordings, or descriptions that reveal Confidential Beta Information. Materials Herbal Ledger LLC has already made public or specifically approved in writing may also be shared. The tester may publicly say that the tester is participating in the Beta program and may give an honest overall opinion, provided the statement does not reveal Confidential Beta Information and follows Clause 7.

This confidentiality rule does not prohibit a disclosure required by law or a good-faith report of suspected unlawful conduct to an attorney, court, law-enforcement agency, or government official. When legally permitted and reasonably safe, the tester should give Herbal Ledger LLC reasonable notice before a legally compelled disclosure. Advance notice is not expected when it is prohibited by law or could reasonably risk safety, retaliation, evidence, or an investigation. The confidentiality duty continues for three years after the tester's Beta participation or access ends, and for information protected as a trade secret, for as long as it remains legally protected as a trade secret.

7. Sharing links and truthful public statements

Subject to the confidentiality rules in Clause 6, when referral sharing is enabled, Herbal Ledger LLC may assign a unique link or code. Beta Testers may share their genuine experience, but they may not make false, misleading, unsubstantiated, medical, safety, earnings, performance, or availability claims; impersonate Herbal Ledger LLC; promise a price, feature, reward, result, or signup limit that Herbal Ledger LLC has not published; purchase misleading traffic; send spam; or place links where promotion is prohibited.

Every promotional post, review, video, message, or recommendation made while the tester receives free Beta access, has earned lifetime access, or may qualify for rewards must clearly and conspicuously disclose that relationship near the recommendation and link. The standard disclosure is: “I am a Beta Tester for Herbal Ledger LLC. I receive free access through the Beta program and may receive future rewards if people join through my link.” A short-form alternative is: “Herbal Ledger LLC Beta Tester; free access and possible referral rewards.” Testers must not describe lifetime access as already earned until they complete active beta in good standing under Clause 3. The disclosure must be easy to notice and understand. It may not be hidden in a profile, behind “more,” buried among hashtags, or replaced with vague wording such as “partner,” “affiliate,” or “thanks Herbal Ledger LLC.” If a later campaign actually pays a tester, that campaign may require an additional clear disclosure such as “Paid partnership with Herbal Ledger LLC” or “Ad.”

8. Referral attribution and privacy

When the referral system is launched, it may record the Beta Tester’s unique link or code, an attributed signup, subscription status, qualifying payment status, refunds or chargebacks, and limited usage or eligibility signals needed to administer the program and prevent fraud. Attribution rules, tracking period, qualifying plans, minimum activity, geographic limits, and any cap will be announced before they apply. A tester will not receive a referred customer’s private formulas, records, payment details, or unnecessary personal information.

Herbal Ledger LLC does not promise that every click or signup can be attributed. Blocked cookies, privacy settings, different devices, later links, shared codes, technical failures, refunds, cancellations, fraud, duplicate accounts, or failure to meet published eligibility rules may prevent or reverse attribution.

False or manipulated referrals are prohibited. This includes creating or controlling sham customer accounts; self-referrals unless a published offer expressly allows them; using false, borrowed, stolen, duplicate, disposable, or fabricated identities or payment methods; bots or automated signups; paying or coercing people to create accounts they do not genuinely intend to use; coordinating circular signups with other testers; concealing cancellations, refunds, or chargebacks; or otherwise manufacturing activity to increase eligibility. Herbal Ledger LLC may use account, device, payment, timing, usage, and fraud-prevention signals to identify suspicious patterns, consistent with the Privacy Policy. It may pause attribution or rewards while reviewing suspicious activity. No detection method is represented as perfect, and a tester may provide a good-faith explanation before a final decision when safety and fraud risks permit.

9. Discretionary quarterly Beta Tester bonuses

Herbal Ledger LLC may announce a quarterly Beta Tester bonus opportunity in advance. Eligibility and amount may consider attributed paid signups, genuine customer use, retention, refunds, chargebacks, fraud checks, compliance with this Agreement, meaningful participation during active beta, and the overall financial and operational success of Herbal Ledger LLC. Signups alone do not create a right to a reward.

A bonus may be cash, a gift, service credit, merchandise, or a limited number of lifetime memberships that the tester may give to close friends or family, as stated in the announcement. Bonuses are discretionary unless a separate written offer expressly guarantees a defined reward after defined conditions are met. Herbal Ledger LLC may decide that no bonus can responsibly be offered for a quarter. A bonus will never require a positive review, a particular opinion, suppression of criticism, or a misleading testimonial. Gifts and complimentary memberships have no cash value, are not refundable, and cannot be exchanged or substituted unless the published offer says otherwise. A tester is responsible for taxes or reporting obligations that apply to a cash payment or taxable benefit.

10. No purchase, refund, or guaranteed compensation

No payment is required to receive a Beta Code or Beta Tester access. Because the tester has not purchased that access, there is no testing-access purchase price to refund. A complimentary gift, reward, access period, or membership cannot be returned for cash, credited against another purchase, or exchanged unless the written bonus announcement expressly permits it. These rules do not alter nonwaivable rights relating to a separate paid transaction.

Beta participation is voluntary and does not create employment or an independent-contractor relationship. No wage, salary, hourly payment, employee benefit, or future job is promised. The program benefit is the conditional lifetime access described in Clause 3, together with only those bonuses or other benefits that a separate written offer expressly provides.

11. Feedback and intellectual property

User Content includes a tester's original Core Formulas, Batch Recipes, Inventory products and records, My Herbal Product Cabinet items, personal research and details added to the Library, images, files, notes, and other original content entered or uploaded to the tester's account. The tester keeps ownership of that User Content, and Herbal Ledger LLC treats it as private under the Privacy Policy. A problem report is Feedback about Herbal Ledger LLC, but any User Content included as an example remains the tester's and is not licensed as Feedback. A Private Problem Report is not posted to the shared Beta discussion. Authorized owners may handle the report and included User Content only as reasonably necessary to investigate it, protect the service or its users, or meet a valid legal requirement. Herbal Ledger LLC may not publish, sell, license, use as training material, or otherwise reuse that User Content without separate permission, except as permitted or required by applicable law.

Feedback means a tester's voluntarily submitted corrections, suggestions, requested features, workflow or design ideas, usability observations, votes, comments, and descriptions in problem reports about how Herbal Ledger LLC works. When a tester submits Feedback, the tester grants Herbal Ledger LLC a perpetual, worldwide, royalty-free right to use, adapt, combine, publish, and implement that Feedback without additional payment or attribution. That permission does not include the tester's separate User Content merely because it accompanies the Feedback.

Ordinary Beta feedback should not contain trade secrets, confidential business methods, unpublished inventions, potentially patentable concepts, or creative work the tester intends to protect, copyright, patent, license, or keep private. A tester who believes a proposed improvement includes that kind of material should contact Herbal Ledger LLC before submitting it so the parties can decide whether separate written terms are appropriate. A tester must not submit another person's confidential or protected material as Feedback.

Submitting, discussing, voting for, refining, or helping test an idea does not give the tester any ownership, equity, profit, management, voting, company-membership, authorship, or intellectual-property interest in Herbal Ledger LLC, the website, or any feature, wording, design, workflow, code, or other material that uses or resembles the feedback. No payment, credit, attribution, ownership interest, or future role is owed for voluntarily submitted feedback unless a separate written agreement signed by an authorized owner expressly says otherwise.

Herbal Ledger LLC retains all rights in the service's original software, source code, databases, written policies and instructions, page designs, artwork, branding, compilations, and other protected materials. Beta Tester access is permission to test and use the service, not permission to copy, publish, sell, license, reverse engineer, decompile, bypass access or security controls, conduct security testing without written permission, perform competitive research, disclose protected materials, or use protected or confidential pre-launch materials to build or help another person build a competing copy. This restriction does not prevent a tester from using general knowledge, ordinary herbal methods, independently developed ideas, or the tester's own content.

12. Voluntary participation, removal, resignation, and appeals

Participation is voluntary. A Beta Tester may resign at any time without a fee or penalty. Resignation ends Beta Tester access, benefits, program duties, and eligibility for any bonus that has not already become binding under a separate written offer. The Beta Code will be disabled and the opening may be offered to another person. Resignation does not automatically preserve or later restore Beta Tester status.

Beta Testers remain free while in good standing, including after they earn lifetime access under Clause 3. Only if a tester loses good standing and complimentary access ends may continued membership require the $2.99 monthly subscription. If the account remains eligible, the tester may choose Herbal Ledger LLC Unlimited when paid enrollment is available. Losing good standing or resigning does not automatically enroll or charge anyone; a paid subscription requires a separate choice and agreement at checkout. Herbal Ledger LLC Unlimited includes every current membership feature, unlimited Core Formulas, and unlimited Batch Recipes or Batch records. There are no paid feature tiers or record-capacity upgrades. Herbal Ledger LLC is not represented as an enterprise manufacturing-compliance system. Current form and tool availability is shown in the membership information presented at signup and on the Welcome page. Price, eligibility, availability, and transition procedures may change after reasonable notice, but a feature will not be represented as available when it is not.

During active beta, grounds for suspension or removal include material or repeated nonparticipation; transferring or sharing a Beta Code; false, duplicate, self-created, coordinated, automated, or otherwise manipulated signups; referral or payment fraud; name-calling or verbal abuse toward testers, owners, staff, customers, or contractors; deliberately causing or escalating verbal altercations; harassment, threats, retaliation, doxxing, discrimination, stalking, intimidation, or repeated personal attacks; refusal to respect clearly stated boundaries; deceptive promotion; failure to make required disclosures; misuse of referral links; spam; unlawful conduct; privacy or security violations; material breach of this Agreement; or conduct that creates a genuine risk to users, the service, or the program. After a tester completes active beta in good standing, ordinary nonparticipation is no longer a removal ground, but the other conduct, security, fraud, and legal rules continue.

A difference in tone, a misunderstanding, a single ordinary disagreement, respectfully forceful language, good-faith criticism, or reporting that Herbal Ledger LLC is wrong will not by itself justify removal. Patterns, context, severity, intent, effect, evidence, prior notice, willingness to correct the problem, and protection of the community will be considered.

When practical and safe, Herbal Ledger LLC may give notice and a reasonable opportunity to correct inactivity during active beta or a less serious violation. If Beta Tester status ends only because meaningful participation stopped during active beta, complimentary access and the lifetime benefit end, but the tester may continue using Herbal Ledger LLC through the ordinary paid membership available at that time. Immediate suspension or removal may occur for threats, severe harassment, fraud, account compromise, deliberate privacy violations, or urgent safety risks; removal for those reasons may end all account access. Removal also ends eligibility for unissued bonuses, permanently disables the Beta Code, and reopens the Beta Tester place when active beta is still accepting testers. Account records remain protected during any stated membership-transition or recovery period. A removed tester may submit one written request for review; review does not guarantee reinstatement.

When Beta access ends, the tester must stop using Beta-only areas and delete or destroy downloaded copies of Confidential Beta Information, including internal screenshots, recordings, documents, and design or security materials. The tester may keep the signed Agreement and the tester's own User Content. Herbal Ledger LLC has not provided testing hardware; if it later provides hardware or physical materials, separate written return instructions will control. Confidentiality, ownership, feedback permissions, disclaimers, liability limits, dispute terms, and other provisions that logically must continue will survive termination.

13. Priority consideration for future positions

Beta Testers in good standing may receive the first opportunity to apply for suitable future positions within Herbal Ledger LLC before wider recruitment when practical. Possible positions may include separately paid moderation, auditing, testing, community, or other work. Priority notice or consideration does not guarantee an interview, offer, training, selection, hours, compensation, or continued work. Every position may have its own qualifications and selection process and requires a separate written agreement defining duties, confidentiality, conduct, authority, supervision, payment, classification, and termination. No tester may act as staff, auditor, moderator, or representative unless formally authorized.

14. Changes to the Beta Testing Program

Herbal Ledger LLC may revise this Agreement and the Beta program's operational rules, referral terms, bonus opportunities, and community procedures prospectively as the service develops. Herbal Ledger LLC does not need each tester's approval before preparing or publishing a revision. Every material revision will be identified with a new version, clearly presented, and must be read and accepted before the tester can re-enter or continue using the protected service. The revision applies to that tester only after acceptance, and access cannot continue under an earlier version.

A correction limited to spelling, punctuation, grammar, formatting, numbering, cross-references, broken links, or another obvious non-substantive error does not amend this Agreement or require renewed acceptance, but only when it does not change meaning, duties, rights, access, privacy practices, or legal effect.

A revision by itself will not retroactively cancel lifetime access already earned in good standing or erase a reward already earned under a separate binding written offer. A tester who does not accept the current version cannot use the protected service, but declining the revision does not by itself erase already-earned lifetime eligibility. That eligibility remains available if the tester later accepts, unless access has separately ended for another reason permitted by an agreement the tester accepted. No revision waives a right that applicable law does not allow a person to waive.

15. Governing law, severability, and the complete agreement

This Beta Tester Agreement is governed by the Florida law and dispute provisions stated in the Terms of Use, except where another law must apply. If a provision is found unenforceable, it will be limited only as much as necessary and the remaining provisions will continue.

This Agreement, the Terms of Use, Privacy Policy, Legal & Safety Disclaimer, and written program terms incorporated into them are the complete agreement concerning Beta participation and replace earlier oral or written discussions on that subject. A later separate written agreement signed by both sides may add to or change only the matters it expressly identifies.
